Terms of Service

Welcome to Hupchop. These Terms of Service ("Terms") govern your use of our premium meal retainer platform and related services. By subscribing to or using Hupchop, you agree to be bound by these Terms. Please read them carefully.

Service Overview

Hupchop is a premium meal retainer service designed for busy professionals and executives in Nigeria. We partner with carefully vetted culinary vendors to prepare and deliver high-quality meals to your office or designated location on a recurring basis.

Our service includes:

  • Personalized meal curation based on your dietary preferences and restrictions
  • Scheduled delivery within your chosen time window
  • Dedicated pod team for personalized service management
  • Quality-assured food preparation from audited vendor partners

Service availability is subject to your delivery zone and the operational capacity of our vendor and logistics network in your area.

Eligibility

To use Hupchop, you must be at least 18 years old, have a valid delivery address within our service zones, and have the legal capacity to enter into a binding agreement. Corporate accounts require authorization from an authorized representative of the subscribing organization.

Subscription & Billing

Billing Cycle: Subscriptions are billed monthly in advance. All prices are quoted in Nigerian Naira (NGN) and include applicable taxes unless stated otherwise.

Payment Methods: We accept bank transfers, card payments, and other payment methods as indicated on our platform. Payment is due at the start of each billing cycle.

Late Payments: Invoices are due within 7 days of issuance. Accounts with overdue payments beyond 14 days may have service temporarily suspended. Repeated late payments may result in account termination.

Price Changes: We reserve the right to adjust subscription prices with at least 30 days' written notice before your next billing cycle. You may cancel before the new price takes effect.

Refunds: Subscription fees are generally non-refundable. Partial credits may be issued at our discretion for extended service disruptions attributable to Hupchop.

Delivery Terms

Delivery Windows: We deliver within the time window specified in your subscription plan. While we strive for on-time delivery, delays may occur due to traffic conditions, weather, security checkpoint protocols, or other factors beyond our control.

Service Level Agreement: Our SLA defines delivery performance standards. Deliveries that fall outside the scheduled window are classified as follows:

Access & Security: You are responsible for providing accurate delivery instructions, including building access details and security protocols. Delivery failures caused by incorrect or outdated access information will not be eligible for compensation.

Skip & Pause Policy

Skip Requests: You may skip individual delivery days with a minimum of 24 hours' advance notice through your subscriber portal. Skipped days during the current billing period are not refunded but may be credited at our discretion depending on your plan.

Subscription Pause: You may pause your subscription for up to 30 consecutive days with at least 48 hours' notice. Your billing cycle will be adjusted accordingly upon reactivation. Pauses exceeding 30 days may require re-enrollment.

Cancellation: You may cancel your subscription with 7 days' notice before your next billing cycle. Cancellation requests made after billing cycle renewal are effective for the following cycle.

Food Safety & Allergies

Important Allergy Notice

You must inform us of all food allergies and dietary restrictions during onboarding and update them promptly if they change. While we take all reasonable precautions, we cannot guarantee a completely allergen-free environment.

All our vendor partners comply with applicable food safety regulations. We conduct regular quality audits covering food quality, hygiene, packaging, temperature control, and presentation. Vendors that fall below our quality standards are placed on review or removed from our network.

Meals should be consumed within the recommended timeframe indicated on packaging. Hupchop is not liable for adverse effects resulting from meals consumed after the recommended time or stored improperly by the subscriber.

Your Obligations

As a subscriber, you agree to:

  • Provide accurate and current personal, dietary, and delivery information
  • Maintain the security of your account credentials
  • Ensure someone is available to receive deliveries at the specified location
  • Notify us promptly of any changes to your address or access instructions
  • Treat our delivery personnel and pod team with respect and courtesy
  • Make timely payments in accordance with your billing terms

Intellectual Property

The Hupchop name, logo, branding, website content, and subscriber portal interface are the intellectual property of Hupchop and its licensors. You may not reproduce, distribute, or create derivative works from our materials without prior written consent.

Any feedback, suggestions, or ideas you provide to us about the service may be used by Hupchop without obligation or compensation.

Limitation of Liability

To the maximum extent permitted by Nigerian law:

Hupchop's total aggregate liability for any claims arising from or related to the service shall not exceed the subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

Hupchop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action.

We are not liable for service disruptions caused by force majeure events including, but not limited to, natural disasters, civil unrest, government actions, pandemics, or infrastructure failures beyond our reasonable control.

Termination

By You: You may terminate your subscription at any time by providing 7 days' notice through your subscriber portal or by contacting your pod team. Your service will continue until the end of your current billing period.

By Us: We may suspend or terminate your account if you breach these Terms, fail to make timely payments, engage in abusive behavior toward our staff, or for any other reason with reasonable notice. In cases of serious breach, termination may be immediate.

Effect of Termination: Upon termination, your access to the subscriber portal will be revoked. We will retain your data in accordance with our Privacy Policy. Outstanding payment obligations survive termination.

Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall first be resolved through good-faith negotiation between the parties.

If negotiation fails, disputes shall be submitted to mediation under the rules of the Lagos Court of Arbitration. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in Abuja, Nigeria.

Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email or a notice on your subscriber portal at least 14 days before taking effect. Your continued use of the service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your subscription before the new Terms take effect.
